Fair Use and Licensing Agreement
This Fair Use and Licensing Agreement (“Agreement”) is entered into by and between Texas Employers for Affordable Health Care (“Licensor”) and the individual or entity (“Licensee”) downloading or accessing the document titled “Employer Health Care Data Field Guide “(“Guide”). By downloading, accessing, or using the Guide, Licensee agrees to be bound by the terms of this Agreement.
1. Grant of License Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Guide solely for internal purposes within Licensee’s organization. This Agreement does not transfer ownership of the Guide to Licensee.
2. Restrictions on Use Licensee agrees to the following restrictions: a. The Guide may not be sold, redistributed, shared, or otherwise made available to individuals or entities outside of Licensee’s organization. b. The Guide may not be modified, altered, or used to create derivative works without prior written permission from Licensor. c. The Guide may not be used for commercial purposes or profit-generating activities. The foregoing does not preclude an organization or individual from using the information within the Guide to improve or reform an employer’s health benefit plan.
3. Copyright and Intellectual Property The Guide and all associated intellectual property rights remain the sole property of Licensor. Licensee acknowledges that any unauthorized use of the Guide may constitute a violation of copyright and intellectual property laws.
4. Termination Licensor reserves the right to revoke this license at any time if Licensee fails to comply with the terms of this Agreement. Upon termination, Licensee must cease all use of the Guide and delete or destroy any copies in their possession.
5. Disclaimer of Warranties The Guide is provided “as is” without any warranties, express or implied. Licensor makes no representations regarding the accuracy, completeness, or suitability of the Guide for any specific purpose.
6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of law principles.
By downloading or using the Guide, Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement.
